Upon the availability of the service of issuing reloadable, prepaid rewards cards and subject to the terms set out in this Annex 3, Customer may request SiFi to issue a reloadable, prepaid rewards cards ("Rewards Card") subject to the terms and conditions of this Annex 3.
The provisions of the Agreement and this SiFi Rewards Cards Extension (the "SiFi Rewards Cards Terms") shall apply to the Customer's use of the Rewards Cards (including but not limited to the application, issuance and use of the Rewards Cards by Customer, the Account Administrator, and any Customer Personnel). If there is any inconsistency between these SiFi Rewards Cards Terms and the Agreement, these SiFi Rewards Cards Terms shall prevail in relation to the Rewards Cards only.
These SiFi Rewards Cards Terms must be read carefully by the Customer and by any Customer Personnel to whom a Rewards Card is issued.
1.1 In addition to the defined terms in the Agreement, the following definitions apply for the purposes of these SiFi Rewards Cards Terms:
2.1 The Rewards Cards constitute a reloadable closed-loop prepaid payment service, funded solely by SiFi Points and usable only with Eligible Merchants or such other channels approved by SiFi from time to time.
2.2 The Rewards Card:
2.2.1 is not a credit card, charge card, debit card, bank account or deposit;
2.2.2 does not provide any overdraft or credit facility, and no profit is paid on any Rewards Balance; and
2.2.3 is a payment instrument that allows the Rewards Card Holder to redeem the Rewards Balance in accordance with these SiFi Rewards Cards Terms.
2.3 The accrual, expiry, reversal and other features of SiFi Points and cashback are governed by the relevant sections of the SiFi Payment Cards Terms, the Loyalty Programme Extension and any applicable programme rules, as updated from time to time.
2.4 These SiFi Rewards Cards Terms govern only the manner in which SiFi Points may be redeemed and spent through a Rewards Card as a prepaid payment instrument, and do not create any additional right for the Customer or Customer Personnel to earn SiFi Points or cashback, unless and solely to the extent otherwise determined by SiFi at SiFi's discretion.
3.1 Opt-in and eligibility. Upon SiFi making available the Rewards Cards and subject to these SiFi Rewards Cards Terms:
3.1.1 the Customer may opt-in via the SiFi Platform and request SiFi to make Rewards Cards available for use by selected Customer Personnel as Rewards Card Holders; and
3.1.2 SiFi may, at its discretion, issue Rewards Cards only where the Customer has a valid and active Account and continues to meet SiFi's eligibility criteria under the Agreement and Applicable Law.
3.2 Who may hold a Rewards Card. SiFi may set specific conditions of eligibility and participation to any Rewards Cards from time to time at SiFi's own discretion. A Rewards Card may only be issued to Customers and Customer Personnel who:
3.2.1 meet the eligibility requirements in the SiFi Customer Personnel Terms (including age and verification requirements); and
3.2.2 have been nominated by the Customer (acting through the Account Administrator) and authorised by SiFi to be Rewards Card Holders.
3.3 Issuer. SiFi is the issuer of the Rewards Cards (sponsored by a partner bank) and operates the Rewards Card programme in accordance with SAMA Regulations, as amended from time to time.
3.4 Application and activation. The Customer shall request the issuance and allocation of Rewards Cards through the SiFi Platform in the manner notified by SiFi from time to time. Each Rewards Card is subject to activation by or on behalf of the relevant Rewards Card Holder via the SiFi Platform or App, in accordance with the processes and security requirements specified by SiFi from time to time. SiFi may offer additional or alternative activation methods, or may change any activation method, upon notice via the SiFi Platform or App.
3.5 Validity and renewal. Each Rewards Card will be issued with a validity period of 5 years, or as otherwise SiFi indicates on the SiFi Platform or App. SiFi may automatically renew a Rewards Card on or before its expiry date or may decide not to renew a Rewards Card (for example where the Rewards Card Holder is no longer eligible or where the Customer's Account is closed or suspended). The expiry of a Rewards Card shall not affect the validity of properly authorised transactions initiated prior to its expiry, provided that they are processed in accordance with applicable payment scheme rules or as otherwise determined by SiFi from time to time.
4.1 Funding via points.
4.1.1 A Rewards Card may only be automatically loaded or reloaded through the conversion of SiFi Points into a Rewards Balance in accordance with these SiFi Rewards Cards Terms and the Loyalty Programme Extension, which will be automatically carried out by SiFi's system converting SiFi points into Rewards Balance upon use of the Rewards Card.
4.1.2 Neither the Customer nor the Rewards Card Holder may fund or reload a Rewards Card using cash, bank transfer, card payments, or any other mechanism.
4.2 Conversion of SiFi Points into Rewards Balance.
4.2.1 When a Rewards Card Holder initiates a valid transaction with an Eligible Merchant, SiFi will convert into monetary value such number of SiFi Points as is necessary to fund that transaction (and any applicable fees), subject always to the available SiFi Points and any applicable limits.
4.2.2 The conversion of SiFi Points into a Rewards Balance is performed immediately prior to, and for the sole purpose of, that specific transaction, and the corresponding monetary value is then debited from the Rewards Balance and paid to the Eligible Merchant.
4.2.3 The applicable rate between SiFi Points and Saudi Arabian Riyals will be determined and may be amended by SiFi from time to time and communicated via the SiFi Platform or App.
4.3 No cash-out and no bank transfers.
4.3.1 A Rewards Card cannot be used to: (a) withdraw cash (including at ATMs, over-the-counter cash-outs or cash-back at point of sale); or (b) transfer funds to any bank account, e-wallet, payment card, or any other payment instrument.
4.3.2 SiFi is under no obligation to, and the Customer and Rewards Card Holders do not have the right to, redeem any Rewards Balance into cash, or to transfer any Rewards Balance to the Customer's Account, to the Customer Bank Account or otherwise.
4.3.3 The Rewards Card may not be used to make cross-border payments or transactions outside the Kingdom of Saudi Arabia.
4.4 Rewards Balance Treatment
4.4.1 SiFi Points and any associated Rewards Balance do not constitute a deposit or an interest-bearing account with SiFi or any third party.
4.4.2 The Customer acknowledges that SiFi Points and any Rewards Balance are a contractual entitlement only, subject to these SiFi Rewards Cards Terms, the Loyalty Programme Extension and any applicable programme rules, and may be amended, suspended or cancelled in accordance with those terms and as otherwise determined by SiFi from time to time in accordance with the Agreement.
4.4.3 The Rewards Balance available on any Rewards Card is separate from and does not form part of the Usable Balance or Total Balance of the Customer's Account under the Agreement.
4.4.4 Transactions on a Rewards Card will not be debited from the Customer's Account balance, and a deficit on any Rewards Card will not give rise to any overdraft or credit under the Agreement.
4.5 Eligible Merchants
4.5.1 The Rewards Card may only be used with Eligible Merchants. SiFi will determine, maintain and update from time to time the list, categories and channels of Eligible Merchants at SiFi's sole discretion, subject to Applicable Law and SAMA Regulations, and may display or detail such Eligible Merchants via the SiFi Platform.
4.5.2 SiFi may add, suspend or remove any Eligible Merchant, or restrict particular categories of merchants or transactions, at any time for regulatory, risk, operational or commercial reasons, or otherwise, without incurring any liability to the Customer or any Rewards Card Holder in respect of any resulting inability to complete a transaction. The Customer shall ensure that Rewards Card Holders comply with any such restrictions notified or made available via the SiFi Platform.
4.5.3 Eligible Merchants are independent third parties and are not acting as agents of SiFi. SiFi is not responsible for, and does not provide any warranty or assurance in respect of, any goods or services supplied by any Eligible Merchant. The Customer and the relevant Rewards Card Holder must resolve any complaint, dispute or claim relating to such goods or services directly with the Eligible Merchant. Part Two of the Payment Card Terms applies to these SiFi Rewards Cards Terms.
5.1 Authorised users.
5.2 The Customer may only permit Rewards Cards to be used by Rewards Card Holders and for legitimate business-related reward purposes in accordance with the Customer's internal policies (including any anti-bribery and anti-corruption policies).
5.3 The Customer remains fully responsible for all transactions initiated using any Rewards Card issued at its request, as if such transactions were made by the Customer.
5.4 Credentials and security. All Sections relating to Credentials and security obligations in the Agreement, the SiFi Payment Cards Terms and the SiFi Customer Personnel Terms apply to Rewards Cards and Rewards Card Holders.
5.5 Lost, stolen or compromised Rewards Card.
5.5.1 If a Rewards Card or any associated credentials are lost, stolen, misused or compromised, the Customer and/or the relevant Rewards Card Holder must notify SiFi immediately using the contact details in the Agreement.
5.5.2 Upon receipt of such notice, SiFi will block the relevant Rewards Card and may issue a replacement Rewards Card in accordance with SiFi's then-applicable processes.
5.5.3 Until SiFi receives such notice, the Customer will be responsible for transactions made using the Rewards Card.
5.6 Prohibited uses. The Customer and Rewards Card Holders must not use the Rewards Cards:
5.6.1 for any illegal purpose or for the purchase of goods or services prohibited under the laws of the Kingdom of Saudi Arabia;
5.6.2 for gambling, cryptocurrencies, or other restricted activities where SiFi has imposed an acceptable-use restriction via the SiFi Platform or as otherwise communicated by SiFi from time to time; or
5.6.3 in any manner that would breach SAMA Regulations or any other Applicable Law.
5.7 Declined transactions. SiFi may decline to authorise or process any transaction using a Rewards Card where:
5.7.1 there are insufficient available SiFi Points or Rewards Balance;
5.7.2 the transaction would breach any applicable limits (as determined by SiFi from time to time), these SiFi Rewards Cards Terms, the Agreement or SAMA Regulations; or
5.7.3 SiFi reasonably suspects fraud, misuse, unauthorised use or illegal activity.
6.1 Card and programme limits.
6.1.1 SiFi may set and/or vary from time to time at its discretion, limits on: (a) the maximum Rewards Balance that may be held on a Rewards Card; (b) the maximum amount that may be spent per transaction, per day, per month or over other periods; and/or (c) the maximum aggregate value or number of transactions that may be effected using a Rewards Card or by a Rewards Card Holder.
6.1.2 SiFi will make such limits available via the SiFi Platform or otherwise in accordance with the Agreement.
6.2 SiFi Points and Rewards Balance expiry.
6.2.1 SiFi Points may expire, be forfeited or be adjusted in accordance with the Loyalty Programme Extension and any applicable programme rules.
6.2.2 Where SiFi Points have expired or been cancelled, the corresponding Rewards Balance will no longer be available to be spent using a Rewards Card.
6.2.3 SiFi may specify an expiry date for any Rewards Balance or Rewards Card and may forfeit any unspent Rewards Balance on or after such date, subject to Applicable Law.
6.3 Effect of termination or suspension.
6.3.1 If the Agreement, the Customer's Account, the Loyalty Programme or these SiFi Rewards Cards Terms are terminated or suspended, SiFi may suspend or cancel any or all Rewards Cards.
6.3.2 Upon termination, any remaining SiFi Points and Rewards Balance may be forfeited, unless SiFi is required under Applicable Law to permit a limited period for redemption.
7.1 SiFi may charge the Customer Fees in respect of the Rewards Cards (including issuance, replacement, or other programme-related fees) as displayed from time to time via the SiFi Platform or as otherwise notified to the Customer in accordance with the Agreement.
7.2 Any such Fees will be charged to and debited from the Customer's Account or otherwise invoiced to the Customer in accordance with the Agreement.
7.3 SiFi may amend the Fees applicable to the Rewards Cards in accordance with the principles for changes and notices set out in the Agreement and, where required, SAMA Regulations.
8.1 Merchant disputes. SiFi is not responsible for any goods or services purchased using a Rewards Card. Any dispute, complaint or claim relating to such goods or services must be resolved directly between the Customer or the Rewards Card Holder and the relevant merchant, and may not be used as a basis for any claim or set-off against SiFi.
8.2 Unauthorised or incorrect transactions.
8.2.1 If the Customer or a Rewards Card Holder becomes aware of any unauthorised, incorrect or disputed transaction on a Rewards Card, the Customer must notify SiFi as soon as reasonably practicable and in any event within 30 days of the transaction appearing on the statement available via the SiFi Platform.
8.2.2 SiFi will investigate reports of unauthorised or incorrect transactions in accordance with its internal procedures and SAMA Regulations.
8.2.3 Where SiFi determines that a transaction was unauthorised or incorrectly executed and that the Customer or Rewards Card Holder has complied with its security obligations, SiFi may credit the Rewards Balance or adjust the SiFi Points accordingly.
8.3 Refunds. Any refund granted by an Eligible Merchant in respect of a transaction made using a Rewards Card will be processed in accordance with the underlying payment scheme rules. To the extent applicable, SiFi may, at SiFi's discretion, (i) re-credit the corresponding Rewards Balance; or (ii) re-credit SiFi Points to the Customer's SiFi Points balance.
8.4 Anti-Fraud.
8.4.1 SiFi reserves the right to monitor activity relating to the Rewards Cards and any associated SiFi Points for fraudulent, abusive or suspicious conduct (including attempts to generate SiFi Points or Rewards Balance inappropriately or to circumvent these SiFi Rewards Cards Terms).
8.4.2 SiFi may suspend or terminate any Rewards Card, cancel or adjust SiFi Points or Rewards Balance, or suspend the Customer's participation in the Rewards Card programme where it reasonably suspects such conduct.
9.1 Customer-initiated cancellation.
9.1.1 The Customer may request the cancellation of one or more Rewards Cards via the SiFi Platform at any time.
9.1.2 Upon cancellation of a Rewards Card, any unspent Rewards Balance associated with that Rewards Card may, at SiFi's discretion, be cancelled, subject to Applicable Law and any applicable specific programme rules.
9.2 SiFi's right to suspend or terminate. SiFi may suspend, limit or terminate the Rewards Cards programme, these SiFi Rewards Cards Terms or any individual Rewards Card (without prior notice, where permitted by Applicable Law and the Agreement) where:
9.2.1 the Customer or any Rewards Card Holder is in breach of these SiFi Rewards Cards Terms, the Agreement or any other applicable terms;
9.2.2 SiFi reasonably suspects fraud, misuse, unauthorised use or illegal activity;
9.2.3 required to do so by SAMA, law enforcement, any court of competent jurisdiction or other competent authority; or
9.2.4 SiFi discontinues the Rewards Card programme.
9.3 Effect of termination. Upon termination of these SiFi Rewards Cards Terms:
9.3.1 all Rewards Cards will be automatically cancelled and may no longer be used; and
9.3.2 subject to Applicable Law, any remaining SiFi Points and Rewards Balance may be forfeited in accordance with the applicable Loyalty Programme Extension.
10.1 Data protection. The processing of personal data in connection with the Rewards Cards shall be governed by the Agreement, SiFi's Privacy Policy and the SiFi Customer Personnel Terms, and will be carried out in compliance with Applicable Law.
10.2 Sub-contracting. SiFi may subcontract or outsource any part of the Rewards Card programme to third parties (including programme managers, processors and technical service providers) in accordance with the Agreement and SAMA Regulations, while remaining responsible to the Customer for the performance of its obligations.
10.3 Governing law; jurisdiction. These SiFi Rewards Cards Terms are governed by, and shall be construed in accordance with, the laws of the Kingdom of Saudi Arabia. Any dispute arising in connection with the Rewards Cards shall be resolved in accordance with the dispute-resolution provisions of the Agreement.
10.4 Amendments. SiFi may amend these SiFi Rewards Cards Terms from time to time in accordance with the amendment and notice provisions of the Agreement and any applicable SAMA Regulations.
The following merchant categories are excluded from being considered Eligible Merchants:
1. Insurance and Financial activities; and
2. any such other category of merchant as SiFi may communicate the Customer from time to time.
